Terms of Service

1. Introduction

1.1 Acceptance of Terms

• By accessing or using Sideline, you enter into a binding agreement with Wished Pty Ltd.
• If you are using Sideline on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

1.2 Updates to These Terms

• We may amend these Terms at any time.
• We will notify you of material changes, but you are responsible for reviewing the Terms periodically.
• Continued use of Sideline means you accept the updated Terms.

2. Eligibility & Account Requirements

2.1 Age Requirements

• Sideline is not available to users under 13 years of age.
• If you are 13–18, you must have permission from a parent or guardian.
• EU users must be 16+ unless parental consent applies.
• If you have been suspended or banned from Sideline, you may not create a new account.

2.2 Account Security

• You are responsible for maintaining the security of your account, including passwords and devices.
• Sideline is not liable for unauthorised access to your account.

2.3 Third-Party Login

You may register using third-party providers (e.g., Google, Apple). Their privacy policies apply to their handling of your data.

3. User Conduct & Acceptable Use

You agree to use Sideline lawfully and responsibly. You must not:

• Break any applicable law (including copyright, broadcasting, or competition laws).
• Harass, threaten, or abuse users or creators.
• Stream or transmit hate speech, serious threats, illegal content, or extremist material.
• Impersonate another person or misrepresent your identity.
• Upload malicious code, attempt to hack, or interfere with platform operation.
• Distribute spam, advertisements, or promotions without permission.
• Circumvent security systems, filters, or moderation tools.

Sideline may remove content, restrict features, suspend accounts, or terminate accounts for violations.

4. Content & Intellectual Property

4.1 Your Content

"User Content" includes any audio you stream, comments you send, call-in audio, TTS messages, profile information, and any other materials you provide through the Service.

You retain ownership of your User Content. However, by using Sideline you grant us a non-exclusive, worldwide, royalty-free licence to:

• store, process, transmit, distribute, and use content as needed to operate the Service;
• display your name, channel, and profile to listeners;
• moderate, remove, or restrict User Content as required.

This licence exists only for the purpose of operating Sideline.

4.2 Rights & Clearances

You must have all rights necessary to stream or transmit your content. This includes responsibility for:

• commentary rights or restrictions for sporting events;
• ensuring no copyrighted event audio or video is reproduced;
• ensuring you have rights to music or ambient audio you intentionally play;
• avoiding infringement under the Copyright Act 1968 (Cth) and relevant international laws.

Sideline does not provide sports broadcasting rights to creators.

4.3 Sports Commentary

Sideline follows a balanced approach:

• You may provide original commentary on sporting events.
• You must not broadcast, restream, reproduce, or simulate league-owned audio, video, or match feeds.
• You must comply with sporting body copyright and competition rules.

4.4 Call-In Audio

• Call-in audio is treated as User Content.
• Creators are responsible for moderating callers.
• Sideline is not liable for anything callers say or transmit.

4.5 No Archiving

Sideline does not record or store audio streams. Temporary buffering may occur strictly for streaming performance, but no playable recordings are kept.

5. Moderation

5.1 Content Moderation

• We do not pre-screen streams or messages, but we may remove or restrict content that violates these Terms.
• Users can report content for review.

5.2 Account Actions

Sideline may:

• remove content;
• limit access to features;
• suspend or terminate accounts;
• suspend monetisation;
• restrict withdrawals.

5.3 Appeals

If action is taken against your account, you may appeal by contacting [email protected]. Sideline will review appeals but is not obligated to reinstate content or accounts.

6. Payments & Monetisation

Sideline offers several monetisation tools. Use of monetisation features requires successful Stripe Connect onboarding.

6.1 Payment Processing

• Payments are processed through Stripe and subject to Stripe's own terms.
• Sideline does not store payment card details.
• All payouts are in AUD unless otherwise specified.

6.2 Revenue Share

• Donations → Creator receives 75% of revenue after fees
• Subscriptions → Creator receives 75% of revenue after fees
• Cheers (Virtual Currency) → Creators earn 1 cent per Cheer spent on their stream

Sideline may change user-facing pricing for Cheers at any time, but creators always receive 1 cent per Cheer.

6.3 Payouts

• Payouts require a minimum earned balance of $1 AUD
• Payouts follow a T+1 day availability window
• Payout method: Stripe Connect only
• Sideline may withhold funds to investigate fraud, abuse, or chargebacks

6.4 Refunds & Chargebacks

• Virtual currency purchases are generally non-refundable, unless required by law
• Sideline may issue account adjustments to handle chargebacks
• Disputed transactions may reduce a creator's balance

7. Virtual Currency (Cheers)

7.1 Nature of Cheers

• Cheers are a licensed digital product, not currency
• They have no cash value
• They cannot be redeemed for money
• They cannot be transferred, bought, sold, traded, or exchanged off Sideline

7.2 Ownership

Sideline retains full control of all digital items and reserves the right to modify or discontinue features at any time.

8. Text-to-Speech (TTS) Alerts

• TTS uses Google Cloud Text-to-Speech
• Messages must comply with these Terms
• Harassment, hate, threats, or illegal content is prohibited
• A profanity filter may prevent messages from being sent
• Repeated TTS misuse may result in suspension
• Blocked messages will not be refunded unless required by law
• Small, temporary caching of audio may occur for performance

9. Advertising & Sponsored Content

Sideline reserves the right to introduce platform advertisements in the future, including:

• pre-rolls, mid-rolls, or ad placements;
• sponsor integrations;
• promotional placements on the platform.

Sideline will not use creators' names, likenesses, or branding for marketing without prior consent.

Creators must comply with Australian Consumer Law regarding disclosure of sponsored content.

10. Copyright

10.1 Copyright Complaints

Sideline complies with the Copyright Act 1968 (Cth) and maintains a takedown process inspired by the DMCA for international users.

Submit copyright complaints to:

Requests must include identification of the work, a description of the alleged infringement, and appropriate contact information.

11. Termination

11.1 User Termination

You may delete your account via settings or by contacting [email protected].

11.2 Our Right to Terminate

We may suspend or terminate your access to Sideline if you:

• breach these Terms;
• violate laws or intellectual property rights;
• engage in fraud, abuse, or harmful behaviour;
• create risk or liability for Sideline.

Sideline is not liable for loss of data following termination.

12. Disclaimers & Limitation of Liability

12.1 Service Provided "As-Is"

Sideline is provided without warranties. We do not guarantee:

• uninterrupted or error-free service;
• perfect reliability of WebRTC or peer-to-peer audio;
• immunity from security breaches.

12.2 Limitation of Liability

To the fullest extent permitted by Australian law:

Sideline is not liable for:

• loss of revenue, data, or reputation;
• failures of the internet, WebRTC, or peer connections;
• actions of other users, creators, or callers;
• issues arising from Stripe Connect.

If liability cannot be excluded, Sideline's liability is capped at: AUD $100, or the total amount you paid Sideline in the previous 12 months — whichever is greater.

13. Governing Law & Disputes

These Terms are governed by the laws of Victoria, Australia.

Any disputes will be heard exclusively in the courts of Victoria.

Nothing in these Terms limits your rights under applicable consumer protection laws in your home jurisdiction.

14. Third-Party Services

Sideline integrates with third-party services such as:

• Stripe (payments)
• Google Cloud (TTS)
• Supabase (authentication, storage)
• Redis (sessions and caching)

Your use of these services is subject to their terms.

15. Privacy

Sideline's data practices comply with:

• Australian Privacy Act 1988 (Cth)
• Australian Privacy Principles (APPs)
• GDPR for EU users
• CCPA for California users

16. International Users

Sideline is operated from Australia. Users outside Australia acknowledge:

• data may be transferred to and processed in Australia;
• local laws may apply to their content and behaviour;
• support is provided in English during AEST business hours.

17. General Provisions

• Assignment: You cannot transfer your rights; we may transfer ours.
• Severability: Invalid sections do not affect the rest of the Terms.
• Entire Agreement: These Terms represent the full agreement between you and Sideline.
• No Waiver: Failure to enforce any term is not a waiver of that term.
